HYBRID - Transactional Paralegal

Our client is an established boutique firm with established clients and the opportunity to do sophisticated work. This is a HYBRID opportunity offering 2-3 days of remote work (DEO) once acclimated.

Key Responsibilities

• Review title and survey and identify and summarize issues.

• Under the supervision of attorneys, work with title companies and surveyors to resolve issues.

• Review Uniform Commercial Code (UCC), lien and litigation searches and summarize results.

• Prepare UCC filings as well as draft and review state corporate filings.

• Work in conjunction with attorneys to close complex financing transactions.

• Draft and review closing documents.

  Requirements

Desired Qualifications and Skills

• Minimum of 3 years of experience reviewing and analyzing title and survey for complex commercial or agricultural properties and direct interaction with title companies to resolve issues.

• Knowledge of available title endorsements and requirements to obtain same.

• Minimum of 1 year of experience managing closings of financing transactions or assisting attorneys with closings of financing transactions, including review of and draft of closing documents.

• Knowledge of UCC searches and filings.

• Knowledge of basic state corporate filings (articles of organization/certificate of formation and certificates of good standing)

• Advanced skills in Word and Adobe.

• Ability to use online file sharing services (Dropbox, Box, SharePoint etc.).

• Ability to use a variety of online research tools, including Westlaw and services specific to corporate and real estate records
