Varonis Systems Inc. Senior Legal Counsel in New York, New York

Coordinate activities to ensure compliance with ethical and regulatory standards. Work in collaboration with Regional Commercial Legal Teams and the Ethics and Compliance functions to emphasize and foster a culture of integrity and compliance. Lead negotiations with customers on Software as a Service (SaaS) and on-premises licensing agreements and support the sales function on all matters relating to customers and prospects. Review and advise the company with regard to privacy issues. Provide compliance support to global program teams such as Partner Programs, Incentives, and Channel Compliance; route-to-market business owners such as Distribution, OEM, Cloud Provider, and Resell; Channel sales; and, the worldwide Commercial legal team. Provide guidance and draft, review, and negotiate a broad range of complex commercial agreements with Channel partners and distributors involving the sale of software licenses, hardware, and cloud services. Act as a trusted advisor to the Channel leadership and associated business teams and provide ongoing support while bringing ideas that help ensure compliance with broader business strategy and direction. Liaise with and support Compliance teams and Regional Commercial legal teams in AMER, APJ, and EMEA on Channel and related matters. Interpret terms and conditions and make practical and pragmatic recommendations based on risk analysis, ensuring compliance with company policies, including revenue recognition. Identify and drive awareness around changes to the legislative and regulatory landscape that may have an impact on Varonis’ operations. Oversee compliance projects initiated by both the legal department and the Varonis business.Job Requirements: Master's degree in Legal Studies, Public Policy, or a related field of study, plus eight (8) years of experience with licensing of Software as a Service (SaaS) and OPS agreements; licensing agreements; advising on technology company agreements; negotiating commercial agreements with vendors; privacy and cybersecurity; GAAP rules and revenue recognition issues; and/or reviewing, drafting, and managing international commercial contracts in the IT sector, including channel agreements, software licensing, hardware sales, and cloud service provider agreements.

Minimum Salary: 211,536 Maximum Salary: 225,000 Salary Unit: Yearly
